Standard Terms & Conditions
Effective Date: September 2026
These Standard Terms & Conditions apply to quotes, estimates, orders, projects, and services provided by Allmark Signs & Graphics (“Allmark”). By approving a quote, submitting a deposit, authorizing work, or otherwise directing Allmark to proceed, the customer agrees to these terms unless different terms are specifically stated in writing on the applicable quote or agreement.
1. Quotes & Pricing
Quoted pricing is valid for 30 days from the date of the quote unless otherwise specified. After 30 days, pricing is subject to review and may be adjusted based on current material, freight, labor, subcontractor, and other project costs.
Quotes are based on the quantities, specifications, site information, artwork, drawings, and project conditions known at the time of quotation. Changes to the scope, specifications, quantities, schedule, installation conditions, or other project requirements may result in additional charges.
Unless specifically stated otherwise, applicable taxes, permit fees, engineering, electrical work, freight, lifts, traffic control, police details, and other third-party costs are not included.
2. Deposits & Authorization to Proceed
A deposit may be required before design, proofing, material procurement, permitting, fabrication, or production begins. Deposit requirements and payment terms will be identified on the applicable quote or invoice.
Approval of a quote and/or payment of the required deposit constitutes authorization for Allmark to proceed with the work described.
Orders involving custom-manufactured products, specially ordered materials, completed design work, permits, engineering, or other costs incurred specifically for the project may not be fully refundable if the project is subsequently canceled.
3. Artwork, Design & Proofs
Unless otherwise specified, quoted pricing includes up to two (2) design revisions. Additional revisions may be subject to design fees.
The customer is responsible for carefully reviewing all proofs before approval, including:
-
Spelling and grammar
-
Names, addresses, telephone numbers, and other information
-
Colors
-
Dimensions
-
Layout
-
Logos and graphics
-
Sign quantities
-
Overall appearance and content
Production will begin only after final proof approval when a proof is required.
Customer approval of a proof constitutes acceptance of the content and design shown. Allmark is not responsible for errors or omissions contained in a customer-approved proof.
4. Customer-Supplied Artwork
Customer-supplied artwork must be suitable for the intended production method. Additional charges may apply when artwork requires recreation, cleanup, conversion, vectorization, color correction, or other preparation beyond normal production setup.
The customer represents that it has the right to use all logos, trademarks, photographs, graphics, fonts, and other materials supplied to Allmark and authorizes Allmark to reproduce those materials for the project.
5. Color Reproduction
Allmark uses commercially reasonable methods to reproduce specified colors. However, differences may occur between computer displays, printed samples, paint, vinyl, digitally printed graphics, illuminated signs, existing signage, and materials produced at different times.
Exact matches to computer screens, photographs, previously produced materials, or existing and weathered signage cannot be guaranteed unless a specific color-matching standard is identified in the quote.
6. Production & Lead Times
Production and installation lead times are estimates unless a specific completion date is expressly guaranteed in writing.
Lead times generally begin after Allmark has received all items necessary to proceed, which may include:
-
Required deposit
-
Final artwork or proof approval
-
Customer-supplied information or files
-
Permit approval
-
Engineering approval
-
Site access
-
Required third-party approvals
Allmark is not responsible for delays caused by permitting authorities, inspections, engineering reviews, utilities, suppliers, freight carriers, subcontractors, weather, site conditions, material shortages, customer changes, or other circumstances reasonably outside Allmark’s control.
7. Permits, Engineering & Municipal Approvals
Permitting, zoning approvals, engineering, electrical permits, historic district approvals, planning approvals, variances, and other governmental or third-party approvals are included only when specifically stated in the quote.
When Allmark provides permitting services, permit approval remains subject to the applicable municipality or reviewing authority. Allmark cannot guarantee approval or the timeframe in which an authority will review or approve an application.
Permit fees, engineering costs, zoning relief, variances, hearings, special approvals, and other costs beyond the quoted permitting scope may result in additional charges.
8. Installation
Installation pricing assumes normal working conditions, reasonable access to the installation location, and that the site is ready for the scheduled work.
Unless specifically included in the quote, additional costs resulting from restricted access, concealed conditions, special equipment requirements, traffic control, police details, after-hours work, union requirements, site-specific safety requirements, delays caused by others, or additional trips may be billed separately.
The customer is responsible for providing reasonable access to the installation location at the scheduled time.
9. Existing Conditions
Work involving existing signs, buildings, walls, foundations, posts, raceways, electrical systems, mounting surfaces, or other existing structures is quoted based on conditions reasonably observable or disclosed at the time of quotation.
Allmark cannot guarantee the condition of concealed or inaccessible components.
Repairs, modifications, reinforcement, replacement, or additional work required because of concealed damage, deterioration, corrosion, inadequate construction, code deficiencies, unsuitable mounting surfaces, or other previously unknown conditions are not included unless specifically stated in the quote and may result in additional charges.
10. Electrical Work
Electrical work is included only when specifically stated in the quote.
When final electrical connection is by others, the customer is responsible for providing a properly sized and code-compliant electrical circuit at the required location.
Unless otherwise specified, an available electrical circuit must be located within five (5) feet of the sign installation location and confirmed prior to installation.
Electrical permits, licensed electrician services, circuit installation, service upgrades, troubleshooting of existing electrical systems, and repairs to existing wiring are excluded unless specifically included.
11. Changes & Additional Work
Changes requested after quote approval or proof approval may affect pricing and scheduling.
Additional work outside the approved scope may be documented through a revised quote, change order, invoice, written authorization, email authorization, or other written confirmation.
Work required because of inaccurate customer-provided information, changed site conditions, revised artwork, changed dimensions, additional quantities, or requirements imposed after the original quote may be billed as additional work.
12. Cancellations
Because most signage is custom manufactured, cancellation charges may apply after an order has been authorized.
The customer is responsible for work performed and costs incurred through the date of cancellation, including design, engineering, permitting, materials, supplier deposits, custom fabrication, restocking charges, subcontractor commitments, and other project-specific expenses.
Custom-manufactured or specially ordered materials may be nonrefundable once ordered or placed into production.
13. Installation Scheduling & Delays
Allmark will make reasonable efforts to coordinate installation with the customer.
If an installation cannot be completed because the site is inaccessible, not ready, unsafe, or otherwise unavailable at the scheduled time for reasons outside Allmark’s control, additional mobilization, equipment, travel, or scheduling charges may apply.
Weather-dependent exterior installation may be rescheduled when conditions are unsafe or unsuitable for proper installation.
14. Customer-Supplied Measurements & Information
When pricing or production is based on dimensions, drawings, photographs, specifications, or other information supplied by the customer or another party, Allmark is entitled to rely on that information.
Allmark is not responsible for additional costs resulting from inaccurate or incomplete customer-supplied measurements or specifications.
When Allmark performs a site assessment or field measurement, production dimensions will be based on Allmark’s verified measurements where applicable.
15. Ownership & Payment
Payment terms are stated on the applicable quote or invoice.
All products, materials, and fabricated components supplied by Allmark remain the property of Allmark until payment has been made in full to the extent permitted by applicable law.
Past-due balances may result in suspension of production, installation, permitting, or other services.
The customer is responsible for reasonable costs associated with collection of amounts properly due and unpaid to the extent permitted by law.
16. Storage & Unclaimed Products
Completed products should be installed, picked up, or otherwise accepted within a reasonable period after notification that they are ready.
If a customer delays installation or delivery for an extended period, Allmark may charge reasonable storage or handling fees after providing notice to the customer.
Allmark is not responsible for project delays resulting from a customer’s inability or failure to accept completed products or schedule installation.
17. Warranties
Manufacturer warranties applicable to specific products or components will be passed through to the customer when applicable.
Any Allmark workmanship warranty specifically provided for a project applies only to defects in Allmark’s workmanship and does not cover damage or failure resulting from normal wear, vandalism, accidents, severe weather, building movement, electrical problems, customer modification, improper maintenance, third-party work, or conditions outside Allmark’s control.
Vinyl, LED components, electronic message centers, power supplies, fabricated components, and other products may have different manufacturer warranty periods. Any applicable warranty information can be provided upon request.
18. Existing Sign Removal & Disposal
Removal and disposal of existing signage are included only when specifically stated in the quote.
Allmark is not responsible for concealed wall damage, discoloration, penetrations, outlines, “ghosting,” or other conditions revealed when existing signage or graphics are removed.
Patching, painting, masonry repair, siding repair, electrical repair, or other restoration of the underlying surface is excluded unless specifically included in the quote.
19. Vehicle & Surface Graphics
Surfaces receiving vinyl or graphics must be suitable for adhesion.
Allmark is not responsible for adhesion failures or surface damage associated with failing paint, repainted surfaces, rust, oxidation, contamination, incompatible coatings, body filler, existing damage, or other unsuitable substrate conditions.
Removal of existing graphics, adhesives, contaminants, waxes, coatings, or other materials requiring preparation beyond the quoted scope may result in additional charges.
20. Photography & Portfolio Use
Unless the customer requests otherwise in writing, Allmark may photograph completed work and use photographs of the completed signage for its portfolio, website, social media, marketing, and promotional purposes.
Allmark will not knowingly disclose confidential customer information through such use.
21. Limitation of Scope
Allmark’s obligations are limited to the products and services specifically identified in the accepted quote and any subsequently authorized changes.
Items not expressly included should not be assumed to be part of the project.
If there is a conflict between these Standard Terms & Conditions and specific written terms contained in an Allmark quote or agreement, the specific written terms of the quote or agreement will control for that project.
22. Governing Law
These terms and transactions with Allmark are governed by the laws of the State of Rhode Island, without regard to conflict-of-law principles.
